Referral Programme Terms

These terms govern the Prospect Connect Media Inner Circle Referral Programme ("Programme"). By participating, you agree to these terms in full.

1. Definitions
- "Referrer" means an existing Prospect Connect Media client who has been activated in the Programme and issued a unique referral code.
- "Referred Business" means a prospective client who enters the Prospect Connect Media pipeline via a Referrer's unique referral link.
- "Successful Referral" means a Referred Business that signs a marketing services agreement with Prospect Connect Media AND pays the applicable setup fee in full.
- "Credit" means a monetary amount applied to the Referrer's future invoices, denominated in GBP.
- "Revenue Share" means a percentage of the Referred Business's monthly retainer paid quarterly to the Referrer via BACS.
2. Eligibility
The Programme is open to existing Prospect Connect Media clients whose account is in "active" status. Clients with "paused" or "churned" accounts are not eligible to earn new rewards, though existing credits and revenue share entitlements remain valid.
Prospect Connect Media reserves the right to activate or deactivate any client's participation in the Programme at its sole discretion.
3. Referral Process
Each activated Referrer receives a unique referral code and shareable URL. When a prospective client visits Prospect Connect Media through this URL, the referral is tracked via browser cookies and server-side attribution. The Referrer's code is associated with the prospect throughout the quiz, booking, contract, and payment process.
4. What Constitutes a Successful Referral
A referral is considered "successful" when ALL of the following conditions are met:
- The Referred Business enters the pipeline via the Referrer's unique referral link or code.
- The Referred Business completes a discovery call with Prospect Connect Media.
- The Referred Business signs a marketing services agreement.
- The Referred Business pays the applicable setup fee in full.
Referrals that do not meet all four criteria are not eligible for rewards, regardless of how far they progress through the pipeline.
5. Reward Tiers
Rewards are milestone-based, not per-referral. The following tiers are unlocked based on the Referrer's cumulative count of Successful Referrals:

| 6th+ Successful Referral | 5% revenue share on referred client's retainer, paid quarterly via BACS |
Total maximum credits earned through milestones: £7,000. Rewards are one-time milestone unlocks and are not issued per-referral.
6. Credit Terms
- Credits are applied to the Referrer's next invoice(s) as a deduction.
- Credits are non-transferable and cannot be exchanged for cash.
- Credits do not expire while the Referrer maintains an active account.
- Credits are issued at the time the Successful Referral criterion is met (setup fee paid).
- Credits are not clawed back if the Referred Business subsequently churns.
8. Pipeline Exclusion
If a prospect already exists in the Prospect Connect Media pipeline (i.e., their lead record was created before the Referrer's referral code was generated), the referral will be flagged for manual review. Prospect Connect Media reserves the right to determine attribution in cases where a prospect had prior contact with the company.
9. Self-Referrals
Referrers may not refer themselves or any business entity in which they hold a controlling interest. Self-referrals are automatically blocked by the system and will not generate rewards.
10. Tracking and Attribution
Referral tracking uses a combination of URL parameters, browser cookies (30-day expiry), and server-side session attribution. The first valid referral code associated with a prospect takes priority. If a prospect clears cookies or uses a different device, attribution may not be possible. Prospect Connect Media is not liable for tracking failures beyond its reasonable control.
11. Confidentiality
Referrers must not disclose confidential information about Prospect Connect Media's pricing, internal processes, or client outcomes to prospective referrals. Referrers may share their own experience and results. Any marketing materials used for referral purposes must be approved by Prospect Connect Media.
12. Modification of Terms
Prospect Connect Media reserves the right to modify these terms at any time. Existing rewards (credits already issued and revenue share arrangements already in effect) will be honoured under the terms in place at the time they were earned. Referrers will be notified of material changes via email.
13. Termination and Protection
- Either party may terminate participation in the Programme at any time.
- Upon termination, any outstanding credits remain valid and will be applied to final invoices.
- Active revenue share arrangements continue until the Referred Business's subscription ends, regardless of the Referrer's Programme status.
- Prospect Connect Media may immediately terminate a Referrer's participation if the Referrer engages in fraudulent activity, misrepresentation, or conduct that damages the company's reputation.
14. Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
